Please read these Terms of Service ("Terms") carefully. They govern your access to and use of the SimplifyMesh application and services.
By creating an account, subscribing to a plan, or otherwise using the service, you agree to be bound by these Terms.
1. Definitions
"Service" means the SimplifyMesh application for 3D mesh simplification, including related features and APIs.
"Service Provider" means Nicolas Mogicato, conducting business as "Nicolas Mogicato Software Solutions" under the brand "SimplifyMesh" in Germany.
"You", "your" means the natural or legal person using the Service.
"Account" means an online account created to access and use the Service.

3. Eligibility and Account Registration
3.1 Eligibility
You may use the Service only if you are capable of forming a binding contract under applicable law. If you use the Service on behalf of a company or organization, you represent that you are authorized to bind that entity and that the entity accepts these Terms.
3.2 Account Registration
To use paid plans, you must create an Account. In some cases, the Account is created automatically during checkout and you will be asked to set a password afterwards.
You must provide accurate and complete information and keep it up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your Account. The Service Provider should be informed immediately if you become aware of any unauthorized use of your Account.
4. Plans, Subscriptions and Billing
4.1 Plans
The Service Provider offers different subscription plans (e.g. Starter, Professional, Professional Plus, Business, Enterprise). The current features, limits (such as number of simplifications per month and maximum file size) and prices of each plan are described within the application.
Plans may be updated or modified from time to time. Changes will not affect the current billing period you have already paid for; they will apply from the next renewal unless stated otherwise and legally permissible.
4.2 Subscription Term and Renewal
Paid plans are typically offered as monthly subscriptions billed in advance. Unless cancelled, your subscription will automatically renew at the end of each billing period for the same plan and duration, using the payment method on file.
4.3 Billing and Payments
By subscribing to a paid plan, you authorize the Service Provider and the payment service provider to charge the applicable subscription fees to your selected payment method.
Payments are processed by Stripe Payments Europe, Ltd. and, where applicable, Stripe, Inc. Stripe processes your payment data on behalf of the Service Provider and may transfer it outside the EU/EEA under EU Standard Contractual Clauses and related safeguards.
All fees are payable in EUR unless otherwise specified. You are responsible for any bank fees, currency conversion fees, or other charges imposed by your payment provider.
4.4 Taxes
Prices may be shown including or excluding VAT depending on your location and the applicable law. Any applicable taxes are added to the fees and shown during checkout.
You are responsible for any other taxes, duties or charges that may be imposed on you in your jurisdiction.
4.5 Changes to Fees
The Service Provider may change the fees for the plans in the future. If that happens, you will be notified in advance in an appropriate manner. Fee changes will not apply retroactively and will normally take effect at the start of your next billing period.
If you do not agree to the new fees, you may cancel your subscription before the changes come into effect.
4.6 Regional Pricing and Address Accuracy
Prices and taxes may vary by country. Display currency can be inferred from your network location, but Stripe applies the final currency and tax based on your billing address at checkout. You must provide accurate billing details and not use VPNs, proxies, or similar techniques to evade local pricing or tax rules. The Service Provider may issue a warning, require you to correct billing details, suspend access, or terminate your Account if you deliberately misrepresent your billing country.
5. Cancellation and Refunds
5.1 Cancellation by You
You may cancel your subscription at any time with effect from the end of the current billing period. After cancellation, you will retain access to the Service until the end of the period you have paid for.
To cancel, you can use the account or billing settings in the Service or contact support@simplifymesh.com.
5.2 Refunds and 14-Day Money-Back Guarantee
A 14-day money-back guarantee applies to your first payment for a paid plan. If you are not satisfied, you may request a refund within 14 days of that first payment by contacting support@simplifymesh.com.
This guarantee applies only to your first purchase of a paid plan. It does not apply to renewals, upgrades, downgrades, or Enterprise contracts unless explicitly agreed otherwise in writing.
Except where required by law or expressly stated otherwise, fees are non-refundable.
5.3 Termination by Us
The Service Provider may suspend or terminate your Account or access to the Service with reasonable notice if you materially violate these Terms or misuse the Service. In serious cases (e.g. illegal activities, security threats, abuse), access may be suspended or terminated immediately without prior notice.
If the Service Provider terminates your subscription without cause (i.e. not due to your breach), any prepaid fees for the unused portion of your current billing period will be refunded.
6. Use of the Service and Fair Use
6.1 Permitted Use
You may use the Service to upload 3D mesh files and generate simplified output for your own business or personal purposes, subject to the plan limits that apply to your subscription.
6.2 Fair Use
Fair use or technical limits may be implemented to protect the stability of the Service. You agree not to misuse the Service, for example by attempting to bypass plan limits, introducing malware, or using the Service for illegal content.
6.3 Your Responsibilities
You are responsible for the content you upload. You must ensure that you have the necessary rights to process the files and that they do not infringe third-party rights or applicable laws.
6.4 Data Residency for EU Customers
If your billing address or primary establishment is located within the European Union, mesh files, account data and related personal data are processed exclusively on servers that are physically located within the EU/EEA under GDPR-compliant agreements. EU-customer data will not be transferred outside the EU/EEA unless you explicitly request or enable a feature that requires such transfer, or there is a legal obligation to do so. In those limited cases appropriate safeguards (such as EU Standard Contractual Clauses) are implemented to protect your data.
6.5 Failed Simplification Jobs
If a simplification job fails due to issues on the Service Provider's server side (and not due to a mesh file that doesn't comply with standardized file formats), the job will not count towards your usage limits. In such cases, you may contact support@simplifymesh.com with a description of the encountered problem; the issue will be addressed accordingly.
6.6 Job History Metadata
Uploaded mesh files and generated output files are stored only temporarily (currently up to 24 hours after a job completes) so you can preview and download results from the Jobs/Simplify pages. After this retention window, stored files are deleted. If you delete a job, any stored files for that job are removed earlier. To help you understand your recent activity, limited metadata is kept (job ID, status, format and the original filename) and the filenames of your five most recent jobs are displayed in the Dashboard. You may delete any job entry (and therefore remove its filename from your dashboard history) at any time from the Jobs page by using the Delete button next to that job.
To improve the quality and user experience of the Service, the Service Provider may retain anonymized processing telemetry such as file format, file size, vertex and face counts, texture presence (yes/no), output mode, LOD reduction range, and processing time. This telemetry is stored without account identifiers, job IDs, filenames, or IP addresses and may be retained after you delete a job.
7. Intellectual Property and Licenses
7.1 Your Content
You retain ownership of the files and content you upload ("Your Content"). You grant the Service Provider a non-exclusive, worldwide, revocable license to process Your Content solely for the purpose of providing and improving the Service.
7.2 Our Content
The Service Provider retains all rights to the Service, including software, documentation, user interface elements, branding, and other proprietary materials. You may not reproduce, distribute, sublicense, or otherwise exploit any part of the Service unless expressly permitted by the Service Provider or mandatory law.
8. Availability, Maintenance and Changes to the Service
The Service Provider aims to provide a high level of availability and performance. However, the Service may be temporarily unavailable or degraded due to:
- planned maintenance or updates,
- unscheduled downtime,
- failures of third-party services or infrastructure,
- events beyond the Service Provider's reasonable control (force majeure).
The Service Provider may modify, add or remove features of the Service from time to time, including to improve performance, security, or user experience or to comply with legal requirements. Core features of a paid plan will not be removed during the current billing period in a manner that materially degrades the plan, unless required by law or for security reasons.
9. Warranties and Disclaimers
To the extent permitted by applicable law, the Service is provided on an "as is" and "as available" basis without express or implied warranties of any kind, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
The Service Provider does not warrant that:
- the Service will be uninterrupted, secure or error-free,
- the results obtained from using the Service will meet your expectations, or
- all defects will be corrected.
10. Limitation of Liability
Nothing in these Terms limits or excludes any liability that cannot be limited or excluded under applicable law (for example, liability for intent, gross negligence, injury to life, body or health, or under mandatory consumer protection laws).
To the fullest extent permitted by applicable law:
- the Service Provider's total aggregate liability arising out of or in connection with the Service and these Terms, whether in contract, tort or otherwise, is limited to the amount you have paid for the Service during the twelve (12) months immediately preceding the event giving rise to the claim; and
- the Service Provider is not liable for any indirect, incidental, consequential or punitive damages, including loss of profits, loss of data (beyond what is caused by gross negligence or intent of the Service Provider), business interruption, or loss of business opportunity.
You are responsible for backing up Your Content and any generated output files.
11. Third-Party Services
The Service may integrate or interoperate with third-party services (such as payment processors, analytics tools, or file hosting providers). The Service Provider is not responsible for third-party services and does not control their terms or privacy practices. Your use of third-party services is subject to their own terms and policies.
12. Governing Law
These Terms and any disputes arising out of them are governed by the laws of the Federal Republic of Germany, excluding its conflict-of-law rules.
13. Changes to these Terms
These Terms may be modified from time to time. If material changes are made, you will be notified in an appropriate manner (for example by email or an in-app notification) before the changes take effect.
If you do not agree to the updated Terms, you must stop using the Service and cancel your subscription. By continuing to use the Service after the updated Terms become effective, you agree to be bound by the updated Terms.
